摘要：
农村集体经济组织法人的内部治理存在治理机构形骸化、法人章程形式化，治理方向市场化与集体化的矛盾以及成员股东治理专业水平低与非成员股东治理缺位的矛盾等困境。这些困境产生的原因主要在于农村集体产权制度改革的负外部性和特别法人制度设计的理念偏差，而矫正负外部性与理念偏差的具体改革路径，在于通过多种方式激活农民主体参与治理的动力，并将外部力量转化为法人发展的内生动力。应在明晰农村集体经济组织法人特别性的基础上，分类施策，允许部分农村集体经济组织法人探索参与市场经济的创新机制。

Abstract:
There are many dilemmas in the internal governance of rural collective economic organizations, mainly including the formalization of governance institutions, charter formalism, the contradiction between marketization and collectivization in the direction of governance, and the contradiction between the governance of member shareholders and the absence of governance of non-member shareholders. The reasons for such dilemmas mainly lie in the negative externalities of the reform of the rural collective property rights system and the conceptual deviations in the design of the special legal person system.
